Terms of Service.
Who is responsible for what.

Effective August 30, 2026

These terms cover your venue’s use of Vespar, an AI assistant that answers your guests’ messages, quotes catering, and books private events on your behalf. The service is operated by Vespar, LLC (“we”, “us”). Because it speaks to your guests in your name and takes money into your own account, it matters that we are precise about who is responsible for what.

Who these terms are with

They are between us and the venue, the business that holds the Vespar account. If you accept these terms on behalf of a venue, you confirm you are authorised to bind it.

They are not with your guests. A guest messaging your venue is dealing with you, not with us, and the booking they make is yours to honour. How we handle their personal data is covered by our Privacy Policy.

What the service does

  • Answers event enquiries in your Facebook Messenger and Instagram DMs, and in the chat widget on your website.
  • Quotes from the menu, rooms, minimums and staffing rates you enter, and sends deposit and final invoices from your payment account.
  • Writes booked events to your calendar, keeps your contacts and conversations in one dashboard, and sends follow-up surveys.
  • On the plans that include it, builds and runs marketing campaigns using your own menu, rooms and brand.

We add and change features. We will not remove something you are paying for without telling you first.

The agent speaks in your name: what that means

This is the most important section on this page. The assistant replies to your guests as your venue, quotes your prices, and holds dates. It does that from information you supply and settings you control.

  • You are responsible for what it says on your behalf, in the same way you are responsible for a member of staff answering the phone. Keep your menu, prices, capacities and policies accurate and current.
  • It is an AI system and it can be wrong. It can misread a question, or answer from information that has gone stale. We build guardrails (an escalation queue, human takeover, a review pass before your agent ever goes live), but we do not warrant that every reply is accurate.
  • You can take over any conversation at any time, which pauses the assistant for that thread, and you can switch the assistant off.
  • A quote or held date is an offer from your venue. If the assistant quotes a price you did not intend, that is between you and your guest to resolve; we will help you understand what happened and fix the underlying setting.

Your account and your people

  • You decide who gets a seat, and what each team can see and edit. You are responsible for your team’s use of the account and for removing people who leave.
  • Sign-in is by emailed link, so keep your work email secure.
  • You must be old enough to enter a contract and use the service for a real business.

Money your guests pay you

Guest payments never pass through us. You are the merchant of record. Deposits and final invoices are created on your own payment account, the money goes from your guest to you, and payouts reach your bank on your provider’s schedule, not ours.

That means refunds, chargebacks, disputes and any tax on what you charge are yours. It also means we cannot move, hold or reverse your money: if a guest needs a refund, you issue it.

What you pay us

  • A monthly plan fee, at the tier you choose. Current prices are on our pricing page. Plans renew monthly until cancelled.
  • A one-time launch service fee, where your agreement includes it: the build, the connections, and the review pass before your agent speaks to anyone.
  • A success fee on event revenue Vespar books and you actually collect, at the rate in your order form. It is charged on money received in the month, before tax; a cancelled event you refund is not billed.
  • Optional extras: additional modules and credit packs, at the prices shown when you buy them.
  • Advertising spend, on managed plans, is billed to you directly by the ad platform. We do not mark it up.

Fees are exclusive of sales tax and VAT, which we add where we must. If a payment fails we may pause the service after telling you. We can change prices with 30 days’ notice, which will never change what you have already paid for.

Your content, and what we generate for you

Your menu, photos, policies, guest lists and conversations remain yours. You give us the permission we need to run the service: to store that material, show it to your guests, and process it through the third-party providers below.

Creative we generate for you (menu photography, campaign artwork, written copy) is yours to use in your marketing. AI-generated material can resemble other output and may not be protectable by copyright, so do not rely on it as a trademark or a logo.

We may use aggregated, de-identified data to improve the product. We do not sell your data, and we do not use your guests’ message content to advertise to them.

Services we depend on

Vespar connects to Meta, Google, Stripe, Mailchimp and similar providers, and to the AI models behind the assistant. Your use of those services is governed by their terms, and your account with each of them is yours.

When one of them changes an API, revokes an access token, or goes down, parts of Vespar stop working until it is restored. We will tell you when we know, and we will fix what is ours to fix, but we are not responsible for their outages or their decisions.

Acceptable use

  • Use it for your own venue’s bookings. Do not resell it or run another business through it without our agreement.
  • Do not use it to send unsolicited marketing, to message people who have not contacted you, or in any way that breaks the messaging platforms’ own rules.
  • Do not upload anything unlawful, or anyone else’s content you do not have the right to use.
  • Do not attempt to break, overload, or reverse-engineer the platform.

Availability

We work to keep the service running and the assistant replying quickly, but we do not promise uninterrupted or error-free operation. We may take it down for maintenance, and we will avoid your busy periods where we can.

Ending the agreement

  • You can cancel at any time, effective at the end of your current billing month. Monthly fees already paid are not refunded, and the launch service fee is not refundable once the work is done.
  • Success fees already earned on events you have collected remain payable after you cancel.
  • We can suspend or end the agreement for non-payment, or for a serious breach of the acceptable-use section, with notice unless the breach makes that impossible.
  • After you leave, you can export your data for 30 days. After that we delete or anonymise it on the schedule in the Privacy Policy.

Warranties and liability

The service is provided as it is. To the extent the law allows, we exclude implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Neither of us is liable to the other for indirect or consequential loss, or for lost profits or lost bookings. Our total liability in any twelve-month period is limited to the fees you paid us in that period.

Nothing here excludes liability that cannot lawfully be excluded, including for fraud, or for death or personal injury caused by negligence.

Changes to these terms

If we change them materially, we will tell you at least 30 days before they take effect, and update the date at the top. Continuing to use Vespar after that means you accept the new version.

Governing law

These terms are governed by the laws of the State of Georgia, United States, and the courts there have exclusive jurisdiction over any dispute.

If a court finds any part of these terms unenforceable, the rest continues to apply. Not enforcing something once does not waive it.
